1. Agreement to Terms
By accessing or using the services provided by Opus Labs ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
2. Description of Services
Opus Labs provides business automation and lead generation services, including but not limited to:
- AI-powered automation systems
- Website design and development
- Google Business Profile optimization
- Review automation systems
- Lead capture and tracking systems
- Related consulting and support services
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information as requested
- Grant necessary access to accounts and systems required for service delivery
- Review and approve deliverables in a timely manner
- Pay all fees according to the agreed payment terms
- Comply with all applicable laws and regulations
- Not use our services for any illegal or unauthorized purpose
4. Payment Terms
Setup Fees
Setup fees are due upon project commencement unless otherwise agreed in writing. Projects will not begin until setup fees are received.
Monthly Fees
Monthly service fees are billed in advance on the same day each month. Payment is due within 7 days of invoice date.
Late Payments
Accounts past due may be subject to service suspension. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month.
5. Cancellation and Refunds
Monthly Services
Monthly service agreements may be cancelled with 30 days written notice. No refunds will be provided for partial months.
Setup Fees
Setup fees are non-refundable once work has commenced. If you cancel before work begins, a full refund will be provided minus any administrative costs.
6. Intellectual Property
Your Content
You retain ownership of all content, data, and materials you provide to us. You grant us a license to use this content solely for the purpose of providing our services.
Our Work
Upon full payment, you own all custom work created specifically for you, including website designs, custom automations, and similar deliverables.
Our Tools and Methods
We retain ownership of our proprietary tools, templates, methodologies, and general know-how used in service delivery.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of the engagement. This includes business strategies, customer data, technical information, and financial details.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from these Terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for lost profits, lost revenue, loss of data, or business interruption
9. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee specific results, including but not limited to increases in leads, revenue, or search rankings. Results depend on many factors outside our control.
10. Indemnification
You agree to indemnify and hold harmless Opus Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.
11. Third-Party Services
Our services may integrate with or require third-party services (e.g., Google, email providers, hosting services). You are responsible for complying with the terms of service of these third parties. We are not responsible for the availability or functionality of third-party services.
12. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes via email or on our website. Continued use of our services after changes constitutes acceptance of the new Terms.
13. Governing Law
